Terms of Use

1. Acceptance of Terms

By accessing and using the ProteinTrail Limited web and mobile applications (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Service. ProteinTrail Limited (“we,” “us,” “our,” or “ProteinTrail”) reserves the right to modify these terms at any time. Continued use of the Service after modifications constitutes your acceptance of the updated terms.

2. Eligibility

You must be at least 4 years of age to use ProteinTrail. By using the Service, you represent and warrant that you are at least 4 years old. We reserve the right to verify your age and suspend or terminate your account if you do not meet this requirement.

3. User Roles and Responsibilities

3.1 Ranch Owners

Ranch owners using ProteinTrail agree to:

Provide accurate and complete information when registering accounts and managing livestock records
Maintain the confidentiality of your account credentials and not share them with others
Control access to your livestock records and only invite trusted VETs
Use the Service solely for lawful livestock management and export facilitation purposes
Comply with all applicable laws and regulations in your jurisdiction

3.2 VETs

VETs using ProteinTrail agree to:

Maintain valid veterinary licensing and professional credentials (VCN registration in Nigeria)
Provide professional veterinary advice in accordance with applicable professional standards
Maintain strict confidentiality of ranch owner data and health records
Use animal health data only for the provision of legitimate veterinary services
Not share or sell ranch owner data to third parties without explicit written consent

3.3 Administrators

Administrators are ProteinTrail personnel responsible for account management, user support, and platform oversight. Administrators agree to exercise their powers in accordance with ProteinTrail policies and applicable laws.

4. Acceptable Use

You agree not to use ProteinTrail for any of the following purposes:

Violation of laws, regulations, or third-party rights
Fraud, forgery, deception, or misrepresentation
Hacking, unauthorized access, or interference with the Service
Malware distribution or any form of harmful code
Harassment, abuse, or threats toward other users
Selling, sharing, or licensing user data without authorization
Commercial scraping or automated access to the Service
Spamming, phishing, or other deceptive practices

5. Intellectual Property Rights

ProteinTrail Limited owns all intellectual property rights in the Service, including the platform, software, designs, features, functionality, and content. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purposes.

You retain ownership of your livestock records and data. However, by using ProteinTrail, you grant us a worldwide, non-exclusive license to store, process, and use your data to provide and improve the Service.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any part of ProteinTrail without our express written consent.

6. Account Management and Termination

You are responsible for maintaining the security of your account credentials. ProteinTrail is not liable for unauthorized access to your account resulting from your failure to protect your credentials. You may request account deletion through our admin support. Upon deletion, your account will be deactivated, and your data will be retained for six months before permanent deletion, unless required to be retained by law.

ProteinTrail reserves the right to suspend or terminate your account at any time, with or without cause, and without prior notice, if we believe you have violated these Terms of Use or engaged in conduct that is unlawful or harmful.

7. Limitation of Liability

To the fullest extent permitted by Nigerian law, ProteinTrail Limited shall not be liable for:

Any direct, indirect, incidental, consequential, or punitive damages
Loss of profits, business, data, or other intangible losses
Service interruptions, bugs, errors, or security vulnerabilities (except those caused by our gross negligence)
Livestock health outcomes, treatment decisions, or veterinary advice provided by third-party VETs
Unauthorized access to or use of your account or data by third parties

8. Disclaimer of Warranties

ProteinTrail is provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be error-free, uninterrupted, or secure. We do not warrant the accuracy, completeness, or reliability of any information or data on the Service.

ProteinTrail is not a substitute for professional veterinary advice. Treatment and vaccination records should be reviewed and validated by qualified VETs. ProteinTrail is not responsible for any livestock health decisions or outcomes resulting from the use of or reliance on information within the Service.

9. Indemnification

You agree to indemnify, defend, and hold harmless ProteinTrail Limited and its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms of Use, or your infringement of any third-party rights.

10. Third-Party Services and Links

ProteinTrail integrates with third-party payment processors (Paystack) and service providers (AWS, Sentry, analytics platforms). We are not responsible for the conduct, policies, or practices of these third parties. Your use of third-party services is subject to their own terms and conditions.

ProteinTrail may contain links to external websites. We are not responsible for the content, accuracy, or practices of external sites and do not endorse them.

11. Payments and Billing

All fees and charges for using ProteinTrail are non-refundable unless explicitly stated otherwise. We reserve the right to change pricing at any time with 30 days notice to existing users.

Payments are processed through Paystack. You agree to comply with Paystack’s terms and conditions.

Failed payment may result in suspension of your account. You are responsible for providing accurate billing information and notifying us of any changes.

12. Governing Law and Jurisdiction

These Terms of Use are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these terms or your use of the Service shall be brought exclusively in the courts of Nigeria, and you irrevocably consent to the jurisdiction and venue of such courts.

13. Dispute Resolution

In the event of any dispute arising from these Terms of Use or your use of ProteinTrail, the parties shall first attempt to resolve the matter through good faith negotiation. If negotiation fails, either party may pursue legal action in the courts of Nigeria as provided in Section 12.

14. Data Breach and Security Incidents

In the event of a security breach or unauthorized access to user data, ProteinTrail will notify affected users via email within 72 hours of discovery, in compliance with the NDPR. We will cooperate with law enforcement and regulatory authorities as required.

15. Modifications to the Service

ProteinTrail reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

16. Entire Agreement

These Terms of Use, together with the Privacy Policy and any other terms or conditions that may be posted on the Service, constitute the entire agreement between you and ProteinTrail regarding the use of the Service. If any provision of these terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
